Terms & Conditions
Introduction
These Terms and Conditions (“Terms”) govern all sales of products via the digital B2B platform operated under the brand Hellas Food World by G.F.W. Global Food World Ltd, a company incorporated under the laws of the Republic of Cyprus, with registered offices in Nicosia, Cyprus (“GFW”, “we”, “us”, “our”).
By accessing the platform, registering as a buyer, placing an order, and/or confirming an order, you (“Buyer”, “you”) expressly agree to be bound by these Terms.
1. Business Scope & B2B Nature
- GFW operates a digital B2B marketplace for the sale and export of Greek food and beverage products to professional buyers worldwide.
- All transactions are strictly business-to-business (B2B). Consumer protection laws do not apply.
- The Buyer confirms that they act in a professional capacity and have the authority to bind their legal entity.
2. Products & Information
- Product descriptions, specifications, certifications, shelf life, packaging, and origin information are provided by producers and/or suppliers.
- GFW takes reasonable care to ensure accuracy but does not guarantee that descriptions are error-free.
- Minor deviations in packaging, labeling, or appearance that do not affect safety or regulatory compliance do not constitute non-conformity.
3. Orders & Contract Formation
- Orders placed via the platform constitute a binding purchase offer by the Buyer.

A sales contract is concluded only upon:
- order confirmation by GFW, and
- full receipt of the agreed prepayment.
- GFW reserves the right to reject any order at its discretion, including due to availability, compliance, or regulatory reasons.
4. Prices & Payment Terms
- Prices are shown in the applicable currency and exclude VAT, customs duties, import taxes, and destination charges unless explicitly stated otherwise.
- Full prepayment is mandatory. Order execution begins only after cleared funds are received.
- Bank charges, intermediary fees, and currency conversion costs are borne by the Buyer.
5. Order Execution & Lead Times
- Upon receipt of payment, GFW initiates sourcing, consolidation, and shipment preparation.
- Delivery and shipment timelines are indicative and non-binding.
- Delays caused by suppliers, logistics providers, inspections, customs authorities, or force majeure do not constitute breach.
6. Delivery, Incoterms® & Risk Transfer
- All deliveries are governed exclusively by Incoterms® 2020 as published by the International Chamber of Commerce (ICC).
6.2 European Destinations – CIF
For deliveries within Europe, goods are sold CIF (Cost, Insurance and Freight).
Under CIF terms:
- GFW arranges and pays for transport to the named port of destination.
- GFW provides cargo insurance in accordance with Incoterms® 2020.
- Risk transfers to the Buyer once the goods are loaded on board the vessel at the port of shipment.
- Import customs clearance, duties, taxes, unloading, and onward transport are the Buyer’s responsibility.
6.3 Destinations Outside Europe – DAP
For deliveries outside Europe, goods are sold DAP (Delivered At Place).
Under DAP terms:
- GFW arranges and pays for transport to the agreed place of destination.
- Risk transfers to the Buyer when the goods are made available for unloading at destination.
- Import customs clearance, duties, taxes, inspections, and regulatory compliance remain the Buyer’s sole responsibility.
- The applicable Incoterm and delivery point are specified in the order confirmation and/or commercial invoice.
7. Customs, Import Compliance & Regulations

The Buyer is solely responsible for ensuring that the products:
- are legally importable at destination,
- comply with local food safety, labeling, language, and registration requirements,
- meet all applicable regulatory approvals.
- GFW bears no liability for rejection, seizure, delays, storage costs, or destruction of goods by authorities due to destination-side non-compliance.
8. Inspection, Claims & Complaints
- The Buyer must inspect goods immediately upon receipt.

Claims must be notified in writing within:
- 48 hours for visible damage or shortages,
- 5 calendar days for quality-related issues.
- Claims submitted after these periods are deemed waived.
- No returns are accepted for perishable goods unless expressly agreed in writing.
9. Cancellations & Refunds
- Orders cannot be cancelled after payment confirmation.
- No refunds are granted once order execution has commenced, including sourcing, production allocation, or logistics booking.
- Any exceptional refunds may be subject to deduction of incurred costs.
10. Limitation of Liability
- GFW’s total liability is limited to the net invoice value of the affected goods.
- GFW is not liable for indirect or consequential losses, including loss of profit, business interruption, or reputational damage.
- Nothing limits liability for fraud or willful misconduct.
11. Force Majeure
- GFW shall not be liable for failure or delay caused by events beyond reasonable control, including natural disasters, strikes, pandemics, war, governmental actions, or supply chain disruptions.
12. Intellectual Property
- All platform content, trademarks, logos, texts, and materials are owned by GFW or its licensors.
- Any unauthorized use is prohibited.
13. Confidentiality
- Commercial terms, pricing, and supplier information disclosed via the platform are confidential and may not be shared with third parties.
14. Governing Law & Jurisdiction
- These Terms are governed by the laws of the Republic of Cyprus.
- The courts of Nicosia, Cyprus, have exclusive jurisdiction.
15. Acceptance
By checking the acceptance box and placing an order, the Buyer confirms that they have read, understood, and fully accepted these Terms and Conditions.
